CoProof Open Platform Agreement

1. Introduction

Welcome to the CoProof Open Platform ("Platform"). This Agreement ("Agreement") governs your access to and use of the CoProof Application Programming Interfaces (APIs), Software Development Kits (SDKs), documentation, and related services (collectively, the "Services") provided by CoProof Technologies Ltd. ("CoProof", "we", "us", or "our").

By accessing or using the Services, you agree to be bound by this Agreement. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to this Agreement.

2. Definitions

"API Key" means the unique authentication credentials assigned to you for accessing the Services.

"Content" means any data, text, information, or other materials submitted to or retrieved from the Platform through the Services.

"Developer" or "You" means the individual or entity accessing or using the Services under this Agreement.

"Rate Limit" means the maximum number of API requests permitted within a specified time period as determined by your subscription tier.

3. Account Registration and API Access

3.1. To use the Services, you must register for an account and obtain valid API credentials. You are responsible for maintaining the confidentiality of your API Keys and account credentials.

3.2. You shall not share, transfer, or disclose your API Keys to any unauthorized third party. Any activity conducted using your API Keys is your sole responsibility.

3.3. You must provide accurate, current, and complete information during registration and keep your account information updated at all times.

4. Permitted Use

4.1. Subject to this Agreement, CoProof grants you a non-exclusive, non-transferable, revocable license to access and use the Services solely for the purpose of developing, testing, and operating your applications.

4.2. You may use the Services to query, retrieve, submit, and manage information units within the CoProof knowledge graph in accordance with the API documentation.

4.3. You shall comply with all applicable rate limits, usage quotas, and technical requirements as specified in the API documentation and your subscription plan.

5. Restrictions

You shall not: (a) reverse engineer, decompile, or disassemble any part of the Services; (b) use the Services to build a competing product or service; (c) exceed your authorized rate limits or attempt to circumvent any technical limitations; (d) use the Services for any unlawful, fraudulent, or harmful purpose; (e) submit any Content that infringes upon the intellectual property rights of any third party; (f) attempt to gain unauthorized access to any part of the Services or its infrastructure.

6. Data Ownership and Intellectual Property

6.1. You retain ownership of any Content you submit to the Platform. By submitting Content, you grant CoProof a worldwide, non-exclusive license to store, process, and display such Content as necessary to operate the Services.

6.2. CoProof retains all right, title, and interest in and to the Services, including all related intellectual property rights, trademarks, and proprietary technology.

7. Service Level and Availability

7.1. CoProof will use commercially reasonable efforts to maintain Service availability. However, the Services are provided "as is" and we do not guarantee uninterrupted or error-free operation.

7.2. We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable prior notice.

8. Fees and Payment

8.1. Certain features of the Services may require payment. Fees are as described on the Platform pricing page and are subject to change with 30 days' prior notice.

8.2. All fees are non-refundable unless otherwise specified. Overdue payments may result in suspension of your access to the Services.

9. Limitation of Liability

To the maximum extent permitted by applicable law, CoProof shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Services.

10. Termination

10.1. Either party may terminate this Agreement at any time by providing written notice. CoProof may also terminate or suspend your access immediately if you breach any provision of this Agreement.

10.2. Upon termination, your right to access the Services will cease immediately. Sections 6, 9, and 11 shall survive termination.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which CoProof Technologies Ltd. is incorporated, without regard to its conflict of laws principles.
